Updating Corporation or Business Entity Records with the Department of State

Existing domestic and authorized foreign corporations and other business entities may update their status or amend their records on file with the Department of State by filing documents such as certificates of amendment, certificates of merger and certificates of dissolution.

File Your Biennial Statement

Domestic/foreign business corporations and domestic and foreign limited liability companies are required to file a Biennial Statement every two years with the Department of State.

The filing period is the calendar month in which the original Certificate of Incorporation, Articles of Organization, or Application for Authority was filed.

Failure to file a Biennial Statement may prevent a corporation or LLC from completing certain business transactions.
