Department of State Launches Online Filing of
for NY Business Community
Over 1.6 million active business entities will see improved service
Albany - In an effort to improve service to the business community and create a leaner and more efficient government, the New York State Department of State has launched a system to allow for the electronic filing of corporate periodic forms, also known as Biennial Statements. Starting today, most business corporations and limited liability companies required to file Biennial Statements with the Department will be able to do so over the internet.
This technological upgrade will support the Department’s efforts to improve customer service and provide substantial cost savings to the state. The Department estimates that it will save over $2.9 million dollars in the five year period after implementation.
“The electronic filing of Biennial Statements is the first step in a complete overhaul of New York’s corporate filing system,” stated Secretary of State Cesar A. Perales. “By modernizing this process businesses will soon be able to file incorporation documents online, saving valuable time and resources and making New York a more business friendly environment.”
Business corporations and limited liability companies are legally mandated to file Biennial Statements with the Department of State every two years. The statements provide the Department with updated contact information of the business. In particular, the information is used to locate an address when a service of process is required. When the Department of State is served on behalf of the business entity, the service of process address is the address used to mail the summons or subpoena to the entity or its designated representative.
Update: Beginning May 1, 2012, most business corporations and limited liability companies (LLCs) may file their Biennial Statement online and pay the $9 fee using a credit card or debit card. The Biennial Statement form, which will be mailed to the address of the corporation or LLC, will provide the necessary information for online filing.
Online filing is only available if an entity received a Biennial Statement form from the Department of State after May 1, 2012.
